Terms of Service

These Terms of Service are a binding agreement between you and Genius Cube Inc., a Delaware corporation doing business as StudyCube, with its principal place of business at 15390 W State Hwy 29, Ste 1002, Liberty Hill, TX 78642, United States (“StudyCube”, “we”, “us” or “our”), which operates the StudyCube learning platform at studycube.ai (the “Platform”). “You” means the individual who uses the Platform or enrolls in a program.

These Terms set out what we owe you, what you owe us, and how we resolve a disagreement if one arises.

Version 3.0  ·  Effective date · August 11, 2026  ·  Last updated · August 11, 2026

Three provisions deserve your attention before you enroll

Section 6 explains that your Enrollment Agreement — not these Terms — sets the total charges and the cancellation and refund terms for your Program. Section 25 requires most disputes to be resolved by individual arbitration rather than in court and waives class actions, and you may opt out of it within 30 days. Sections 23 and 24 limit what we are liable for.

1. The Services

1.1

StudyCube operates an online learning platform through which we offer live, instructor-led training programs delivered in cohorts, together with recorded materials, assignments, assessments, community features and related services (collectively, the “Services”). A “Program” means a specific offering you sign up for through the Services.

1.2

These Terms of Service (these “Terms”) govern your use of the Services. Please read them carefully. They include an agreement to resolve disputes by binding individual arbitration and a waiver of class actions in Section 25, and limitations on our liability in Sections 23 and 24.

2. Acceptance of These Terms

2.1

You accept these Terms by registering for an account, enrolling in a Program, purchasing any Service, or submitting a form in which you indicate your agreement. Where we present a checkbox or equivalent control stating that you agree to these Terms, ticking it and submitting the form is your acceptance. Merely browsing the public pages of our website does not make you a party to these Terms, though your use of those pages remains subject to our Privacy Policy and to Section 15 (Cookies and Similar Technologies).

2.2

If you do not agree to these Terms, do not register, enroll or purchase.

2.3

We keep a record of each acceptance, including the account identifier, the date and time, the network address from which acceptance was submitted, and the version of these Terms accepted. You may request a copy of your own acceptance record at any time.

2.4

If you accept these Terms on behalf of an employer or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

3. Eligibility and Age Requirements

3.1

You must be at least 18 years old to open your own account and to enroll in a Program in your own name.

3.2

The Services are not directed to children under 13 years of age, and we do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it promptly. If you believe a child under 13 has provided us information, contact us at info@studycube.ai.

3.3

A person aged 13 to 17 may use the Services and be enrolled in a Program only where a parent or legal guardian has given verifiable consent, accepts these Terms on the minor’s behalf, and remains responsible for the minor’s use of the Services and for all fees.

3.4

You may not use the Services if you have previously been suspended or removed by us, or if you are barred from receiving them under the export-control or sanctions laws of the United States.

3.5

You are responsible for complying with any law that applies to you where you are located.

4. Accounts and Registration

4.1

You must provide accurate and complete information when you register, and keep it current. Registering with false information, or on behalf of someone else without their authority, is a breach of these Terms.

4.2

You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at info@studycube.ai if you suspect unauthorized access.

4.3

Accounts are personal to you and may not be shared. Program access is licensed to one named individual. Sharing credentials, allowing another person to attend sessions in your place, or enabling access by anyone who has not paid the applicable fee is a material breach and grounds for termination under Section 20. If you are enrolled in a Program, what you are refunded when we remove you from it is governed by your Enrollment Agreement.

4.4

You may close your account at any time by contacting us. Closing your account does not entitle you to a refund and does not relieve you of amounts already due.

5. Enrollment and Program Delivery

5.1

We publish a start date, a schedule and a curriculum outline for each Program. These describe the Program as planned at the time of publication.

5.2

Reasonable changes to delivery. Live instruction is not a fixed commodity, and we may make reasonable changes to a Program without that being a cancellation. Specifically, we may:

  • reschedule an individual session, provided the Program is still delivered in substantially the same total volume of instruction;
  • substitute a trainer or guest speaker of comparable expertise;
  • update, reorder or replace curriculum content to keep it technically current; and
  • change the platform or tools used to deliver sessions.
5.3

A change of the kind described in Section 5.2 does not give rise to a refund. Cancellation of a Program by us is dealt with in your Enrollment Agreement.

5.4

Where we materially change the total volume of instruction, the start date, or the core subject matter of a Program after you have enrolled, we will notify you and offer you the choice of the changed Program, a transfer to the next cohort, or a refund of fees paid.

5.5

How long access lasts. Materials, recordings and community access provided as part of a Program are made available for the access period stated in your Enrollment Agreement, which runs from the day the last scheduled live class of your cohort is held. Where no period is stated there, access continues for ninety (90) days from that day. Access is not permanent, and we do not undertake to keep materials available once the access period has ended.

5.6

Enrollments made before August 11, 2026. The period that applied when you enrolled continues to apply to you — twelve (12) months from the Program start date where no other period was stated at your enrollment — and the ninety (90) day period above does not shorten it.

6. Fees, Payment and the Enrollment Agreement

6.1

Program fees are stated at the point of enrollment in US dollars and are exclusive of taxes unless stated otherwise. The fee stated at your enrollment is the fee that applies to you; a later change in price does not affect a completed enrollment.

6.2

You authorize us and our payment processors to charge your chosen payment method for all fees, taxes and other amounts due. If a payment method is declined or a payment is reversed, we may suspend access until the amount is paid, subject to the two sentences that follow. Where the amount is due under an Enrollment Agreement, the grace period, the notice we give you and the restrictions we may apply are governed by that Agreement, and we apply none of them while the payment has failed for a reason that is ours to fix. We do not suspend your access because you have queried an amount with us or asserted a billing error with your card issuer or financial institution, and we do not suspend it while that query or dispute is being resolved.

6.3

You are responsible for all applicable sales, use and similar taxes, which we may collect in addition to the stated fee.

6.4
YOUR ENROLLMENT IN A PROGRAM IS GOVERNED BY A SEPARATE ENROLLMENT AGREEMENT. WE GIVE IT TO YOU BEFORE YOU ENROLL, AND IT STATES THE TOTAL CHARGES, THE PAYMENT SCHEDULE, WHEN YOU MAY CANCEL, AND WHAT YOU RECEIVE BACK IF YOU DO. YOUR ENROLLMENT IS NOT COMPLETE UNTIL YOU HAVE ACCEPTED IT. THE CANCELLATION AND REFUND TERMS THAT APPLY TO YOU ARE THE TERMS OF THAT ENROLLMENT AGREEMENT, NOT THESE TERMS, AND WHERE THE TWO CONFLICT ON CHARGES, PAYMENT, CANCELLATION OR REFUNDS, THE ENROLLMENT AGREEMENT GOVERNS.
6.5

Nothing in these Terms limits any right you have under a law that cannot be waived by agreement. Some states regulate refunds for career and vocational training and require a particular refund calculation, a cancellation period, or particular disclosures. Where such a law applies to your enrollment, that law governs and we will apply it.

6.6

If you are charged twice for the same enrollment, charged an incorrect amount, or charged after a Program was cancelled, contact us and we will correct it and return the difference. This is a correction, not a refund.

6.7

Chargebacks and billing error rights. We request, but do not require, that you notify us at info@studycube.ai before initiating a chargeback or other dispute with your card issuer or financial institution, so that we may attempt to resolve the matter directly. Such notice is a request only: it is not a condition precedent to any right of yours, and your failure to give it shall not operate as a waiver of, limitation upon, or defense to, any right you have under the Fair Credit Billing Act, 15 U.S.C. § 1666 et seq., and Regulation Z, 12 C.F.R. § 1026.13; the Electronic Fund Transfer Act, 15 U.S.C. § 1693 et seq., and Regulation E, 12 C.F.R. Part 1005; your cardholder or deposit account agreement; or the operating rules of the applicable payment card network. Nothing in these Terms shall be construed to waive, restrict, condition, shorten the time for asserting, or otherwise impair any such right.

7. Attendance, Participation and Monitoring

7.1

Attendance monitoring applies to enrolled learners only. We do not monitor trainers, guest speakers or visitors in this way.

7.2

We do not record learners. We do not capture your camera, microphone or screen during a session, and no recording of you is created, stored or distributed by us. Where a session recording is made available to a cohort, it captures the trainer’s presentation and shared materials.

7.3

We do not record telephone calls made to or from you by our team.

7.4

We do not collect biometric identifiers or biometric information. We do not use facial recognition, voiceprint analysis, keystroke biometrics or remote proctoring technology of any kind, and we do not permit a vendor to do so on our behalf.

7.5

If we ever propose to change any of the four preceding provisions, we will tell you before the change takes effect and obtain your consent where the law requires it. We will not apply such a change retroactively to sessions already delivered.

7.6

Attendance and participation data is personal information and is handled under our Privacy Policy. We do not sell it.

7.7

You may not record, photograph, transcribe, stream or otherwise capture a live session, in whole or in part, except with our prior written consent. See Section 16.

8. Certificate of Completion

8.1

Where you complete a Program, we issue you a Certificate of Completion. Whether you have completed a Program, when the Certificate is issued and what it costs are governed by your Enrollment Agreement, not by these Terms.

8.2
A CERTIFICATE OF COMPLETION RECORDS THAT YOU COMPLETED A PROGRAM OF INSTRUCTION DELIVERED BY STUDYCUBE. IT IS NOT A DEGREE, A DIPLOMA, A CERTIFICATION, A LICENSE, AN ACCREDITED CREDENTIAL, OR A CONTINUING EDUCATION CREDIT. WE DO NOT REPRESENT THAT IT IS RECOGNIZED OR ACCEPTED BY ANY ACCREDITING BODY, LICENSING AUTHORITY, EMPLOYER OR EDUCATIONAL INSTITUTION, AND IT DOES NOT QUALIFY YOU TO PRACTICE ANY OCCUPATION FOR WHICH A LICENSE IS REQUIRED. IT RECORDS THAT A PROGRAM WAS DELIVERED TO YOU AND THAT YOUR ENROLLMENT WAS IN GOOD STANDING WHEN IT ENDED. IT DOES NOT ATTEST TO YOUR COMPETENCE AND IT IS NOT AN ASSESSMENT OF YOUR SKILL AGAINST ANY PUBLISHED STANDARD.
8.3

The Certificate carries no third-party name, logo or mark. Where a Program teaches you to use a product, service or model made by another company, that company has neither sponsored, endorsed, approved nor reviewed the Program, and completing it does not make you certified by, affiliated with, trained by or accredited by that company. Nothing we issue you says otherwise.

8.4

How you may use your Certificate. It is issued to you alone. You may:

  • keep it, share it, display it and post it publicly, including on a professional networking profile, and state that you completed the Program;
  • give its unique identifier to anyone you want to be able to check it; and
  • ask us to correct an error in it at no charge.
8.5

You may not:

  • alter it, or reproduce it in a form that changes what it says;
  • transfer it, sell it, or allow another person to present it as their own; or
  • use it to state or imply that you hold a degree, a certification, a license, an accreditation or any other qualification that it does not confer, or that you are certified or accredited by us or by anyone else.
8.6

We confirm on request whether a Certificate we issued is genuine. We do so on your request, or on the request of a person to whom you have given its identifier, and we confirm only that it is genuine and which Program it relates to. We do not publish a list of the learners we have issued Certificates to, and we do not operate a public directory in which your name can be looked up.

8.7

We may withhold or revoke a Certificate on the grounds stated in your Enrollment Agreement. Nothing in this Section limits Section 18: a Certificate is not a guarantee of employment, an interview, a promotion, a particular salary or any other career outcome.

9. License to Use the Services

9.1

Subject to these Terms and to payment of the applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Services and the Program materials for your own personal, non-commercial learning.

9.2

You may not, and may not permit anyone else to:

  • (a)copy, reproduce, republish, upload, post, transmit or distribute any Program material, in any medium, except as the Services expressly permit;
  • (b)sell, resell, license, rent, lease, share, timeshare or otherwise commercialize access to the Services or any Program material;
  • (c)use any Program material to develop, deliver or market a competing training product or service;
  • (d)reverse engineer, decompile or disassemble any part of the Services, or attempt to derive their source code;
  • (e)use any robot, scraper, or automated means to access the Services or to extract content from them;
  • (f)circumvent, disable or interfere with any security, access-control or rate-limiting feature; or
  • (g)remove, obscure or alter any copyright, trademark or other proprietary notice.
9.3

All rights not expressly granted in these Terms are reserved to us and our licensors.

10. Intellectual Property and Program Content

10.1

The Services, and all software, text, graphics, interfaces, designs, compilations and other material forming part of them, are owned by Genius Cube Inc. or its licensors and are protected by copyright, trademark and other laws.

10.2

Program materials — including slides, notebooks, code, exercises, assessments, session recordings and written materials — are owned by us or licensed to us by their authors. Your enrollment gives you a license to use them for your own learning; it does not transfer ownership of anything.

10.3

Program materials are confidential to the cohort and may not be shared. Posting Program materials to a public repository, a file-sharing service, a messaging group outside your cohort, or any other place where a person who has not enrolled can obtain them is both a breach of these Terms and copyright infringement. Statutory damages for willful copyright infringement can reach $150,000 per work infringed under 17 U.S.C. § 504(c)(2), in addition to any other remedy available to us.

10.4

You keep ownership of the code, projects and other work you create during a Program, subject to the license you grant us in Section 12.2. We claim no ownership of your work product and we do not take a share of anything you build with what you learn.

10.5

“StudyCube”, our logo and our other marks are our trademarks. You may not use them without our prior written consent, and you may not use them in a way that disparages us or suggests an endorsement or affiliation that does not exist.

11. Trainers, Instructors and Guest Speakers

11.1

Sessions are delivered by trainers, instructors and guest speakers engaged by us as independent contractors. They are not our employees, partners or agents, and they have no authority to make commitments on our behalf.

11.2

Views expressed by a trainer or guest speaker are their own. Statements made during a session — about technologies, employers, salaries, market conditions, career prospects, or any other matter — are personal opinion offered for teaching purposes. They are not our advice, not a representation by us, and not something you should rely on in making a financial, career or legal decision.

11.3

A trainer’s professional background, current or former employers, credentials and public profile are described for context only. Naming an employer does not mean that employer endorses, sponsors or is associated with the Program.

11.4

Nothing said in a session is legal, tax, financial, investment, immigration or medical advice. Seek advice from a qualified professional in the relevant jurisdiction.

11.5

We may substitute a trainer or guest speaker at any time, as provided in Section 5.2.

12. User Content

12.1

“User Content” means anything you submit, post or upload through the Services — assignments, projects, code, questions, community posts, feedback, reviews and messages.

12.2

You keep ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt and display your User Content for the limited purposes of operating the Services, delivering and assessing the Program you are enrolled in, providing support, and complying with law. This license ends when your User Content is deleted, except for copies retained in routine backups or as the law requires.

12.3

We do not use your User Content for marketing or promotion, and we do not use it to train artificial intelligence models. If we ever want to feature your work, your name or your likeness in marketing material, we will ask you separately and you are free to decline. See also Section 13.

12.4

Where the Services let you share User Content with your cohort, you grant other members of that cohort a non-exclusive license to view and use it within the Services for their own learning.

12.5

You represent and warrant that, for all User Content you submit:

  • (a)you own it or have all rights necessary to grant the licenses above;
  • (b)it does not infringe or misappropriate anyone’s intellectual property, privacy or publicity rights;
  • (c)it does not contain material that is unlawful, defamatory, harassing, or obscene;
  • (d)it does not contain confidential information belonging to a current or former employer or client that you are not free to disclose; and
  • (e)it does not contain malware or anything designed to disrupt or damage software or hardware.
12.6

We are not obliged to monitor User Content, and we do not endorse it. We may remove or restrict User Content that we reasonably believe breaches these Terms or the law, and we may do so without prior notice where the circumstances require.

12.7

If you send us suggestions or ideas about the Services, we may use them without restriction and without owing you compensation or attribution. This applies to feedback about the Services only, and not to your Program work product.

13. Artificial Intelligence Features

13.1

The Services include features built on artificial intelligence systems, which may be operated by us or by third-party providers. Where you interact with such a feature, you are interacting with an artificial intelligence system and not with a human. We tell you this at the point of interaction as well as here.

13.2

We do not use learner work to train artificial intelligence models. Assignments, projects, code, questions and other User Content you submit are not used, by us or by any provider acting for us, to train, fine-tune or otherwise develop an AI model. Where an AI feature processes your input in order to return a response to you, the provider is contractually restricted to that purpose.

13.3

AI-generated output can be incomplete, out of date or wrong, including where it is expressed confidently. Verify anything you intend to rely on. AI output is not advice of any kind and is not a substitute for your own judgment.

13.4

Do not submit to an AI feature any personal information about another person, any confidential information belonging to an employer or client, or any material you are not free to disclose.

13.5

You may not use the Services, or any output of an AI feature, to build a competing training product, to generate material for resale, or in a manner that violates the terms of the underlying AI provider.

13.6

Our use of personal information in connection with AI features is described in our Privacy Policy.

14. Electronic Communications, Email and Text Messages

14.1

You consent to receive communications from us electronically, including notices about your enrollment, changes to a Program, billing, security and changes to these Terms. Electronic communications satisfy any legal requirement that a communication be in writing.

14.2

Service communications are part of the Program and you cannot opt out of them while you hold an account or an enrollment. They include schedule changes, session links, assessment notices, billing notices and security alerts.

14.3

Marketing communications are separate and optional. You may unsubscribe from marketing email at any time using the link in the message or by contacting us. Unsubscribing from marketing does not affect service communications.

14.4

Text messages require your separate consent. We send SMS only where you have given prior express written consent to that specific channel, given separately from your acceptance of these Terms. Consent to receive text messages is not a condition of enrollment or of any purchase. Message and data rates may apply; message frequency varies. Reply STOP to any message to stop, or HELP for help.

14.5

Telephone calls from our team are not recorded, as stated in Section 7.3.

14.6

You may withdraw any consent given under this Section by contacting info@studycube.ai.

15. Cookies and Similar Technologies

15.1

A cookie is a small file a website stores on your device. We also use technologies that work the same way without being cookies — principally local storage, which keeps a value in your browser until you clear it. In this Section “cookie” covers all of them. This Section is our full statement on the subject; we do not publish a separate cookie policy.

15.2

What we set. The following is the complete list of cookies and similar technologies used on the Platform:

NameSet byPurposeTypeExpires
learningstudio-authStudyCubeKeeps you signed in after you log in, so you are not asked for your password on every page.Strictly necessary — local storageWhen you sign out or clear your browser
ls-themeStudyCubeRemembers whether you chose the light or dark display.Functional — local storageWhen you clear your browser
_gaGoogleDistinguishes one browser from another so that visits can be counted.Analytics — third-party cookie2 years
_ga_ZCCSCNJYWDGoogleHolds the Google Analytics session state for this website.Analytics — third-party cookie2 years
15.3

Strictly necessary technologies cannot be switched off. They exist only to deliver the Platform you asked for — signing you in, keeping your session, and protecting the security of a request. Blocking them will stop parts of the Platform working. Our hosting and security providers may set a short-lived cookie of this kind to route or protect a request; it carries no advertising function.

15.4

Analytics. We use Google Analytics 4 to count visits and understand which pages are used, so we can improve them. These analytics cookies are set when the page loads, and we do not ask you to opt in first. They tell us how the Platform is used in aggregate; we do not use them to build an advertising profile of you. You can stop them at any time by the means described below.

15.5

We do not currently set any advertising cookie on the Platform. If that changes, we will update this Section before the cookie is set, and we will obtain your consent first where the law requires it.

15.6

How to control cookies. You have all of the following:

  • Your browser. Every major browser lets you block or delete cookies and clear local storage, either for all sites or for this one. Doing so signs you out and resets your display preference.
  • Google’s opt-out. Google publishes a browser add-on that stops Google Analytics collecting data about your visits to any website.
  • Global Privacy Control. We treat a Global Privacy Control signal as a valid opt-out of any sale or sharing of your personal information, as described in our Privacy Policy.
  • Ask us. Write to info@studycube.ai and we will tell you what is set and help you remove it.
15.7

What these technologies mean for your privacy — the categories of personal information involved, how long we keep them, and the rights you have over them — is set out in our Privacy Policy, which is incorporated into these Terms by Section 27.

16. Prohibited Conduct

16.1

You agree not to:

  • (a)use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  • (b)record, photograph, transcribe, screen-capture, stream or simultaneously broadcast any live session, in whole or in part, without our prior written consent;
  • (c)share, resell or give away access to a Program, its materials, or its community;
  • (d)impersonate any person or misrepresent your affiliation with any person or organization;
  • (e)harass, threaten, defame, bully or discriminate against any learner, trainer, guest speaker or member of our team;
  • (f)post content that is unlawful, obscene, hateful, or that promotes violence or self-harm;
  • (g)solicit other learners for a commercial purpose, recruit them to a competing program, or use the community to advertise;
  • (h)submit work that is not your own as if it were, or otherwise cheat in an assessment;
  • (i)probe, scan, or test the vulnerability of the Services, or breach any security or authentication measure;
  • (j)interfere with or disrupt the Services or the networks or servers used to provide them; or
  • (k)assist or encourage anyone else in any of the above.
16.2

We may investigate suspected breaches of this Section and cooperate with law enforcement. Breach of this Section is grounds for suspension or termination under Section 20. If you are enrolled in a Program, your removal from that Program and the refund payable to you on removal are governed by the provisions of your Enrollment Agreement dealing with removal for conduct.

17. Copyright Infringement Notices and Designated Agent

17.1

We respect intellectual property rights and expect our users to do the same. We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. § 512.

17.2

Notice of claimed infringement. If you believe material on the Services infringes your copyright, send a written notice to our designated agent at the address in Section 17.3 containing:

  • a physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
  • identification of the copyrighted work claimed to have been infringed;
  • identification of the material claimed to be infringing, with enough detail for us to locate it;
  • your address, telephone number and email address;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  • a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.
17.3

Designated agent. Notices must be sent to:

Copyright Agent, Genius Cube Inc.
15390 W State Hwy 29, Ste 1002, Liberty Hill, TX 78642, United States
info@studycube.ai

A notice that does not substantially comply with the requirements above may not be effective. Sending a notice to any other address may delay our response.

17.4

Counter notification. If your material was removed and you believe the removal was a mistake or a misidentification, you may send our designated agent a counter notification containing your signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, your name, address and telephone number, and your consent to the jurisdiction of the federal district court for the district in which your address is located (or, if outside the United States, the Western District of Texas), and that you will accept service of process from the person who gave the original notice.

17.5

On receiving a valid counter notification, we may restore the material in not less than ten (10) nor more than fourteen (14) business days, unless the original complainant notifies us that they have filed an action seeking to restrain the allegedly infringing activity.

17.6

Repeat infringers. We terminate, in appropriate circumstances, the accounts of users who are repeat infringers. Two or more valid, uncontested notices against the same account will ordinarily be treated as repeat infringement.

17.7

Misrepresentation. Under 17 U.S.C. § 512(f), a person who knowingly materially misrepresents that material is infringing, or that it was removed by mistake, may be liable for damages, including costs and attorneys’ fees. We reserve the right to seek them.

18. No Guarantee of Employment, Income, or Other Outcomes

18.1
WE DO NOT GUARANTEE THAT COMPLETING A PROGRAM WILL RESULT IN EMPLOYMENT, AN INTERVIEW, A PROMOTION, A PARTICULAR SALARY, A PARTICULAR LEVEL OF INCOME, OR ANY OTHER CAREER OUTCOME. WE MAKE NO SUCH PROMISE, AND NO TRAINER, EMPLOYEE, CONTRACTOR OR ADVERTISEMENT OF OURS IS AUTHORIZED TO MAKE ONE ON OUR BEHALF.
18.2

Any statement about the earnings, placements or career progress of past learners describes those individuals’ results. Results depend on prior experience, effort, location, the labor market, and factors outside our control, and are not typical of what any particular learner should expect.

18.3

Program content is educational. It is not legal, tax, financial, investment, immigration, employment or medical advice, and must not be relied on as such.

19. Third-Party Services and Links

19.1

The Services integrate and link to services operated by others — video conferencing, payment processing, community and messaging tools, code hosting, analytics and AI providers. Your use of a third-party service is governed by that provider’s own terms and privacy policy.

19.2

We are not responsible for third-party services, for their availability, or for the content of any site we link to. A link is not an endorsement.

19.3

Where a Program requires you to hold an account with a third-party service, obtaining and maintaining it is your responsibility, and any charge that provider makes is separate from our fees.

19.4

The Services may include open-source components licensed under their own terms; nothing in these Terms restricts your rights under those licenses.

20. Term, Suspension and Termination

20.1

These Terms take effect when you first accept them and continue until terminated.

20.2

You may terminate by closing your account. Termination by you does not entitle you to a refund except as provided in your Enrollment Agreement or under a non-waivable law.

20.3

We may suspend or terminate your access, in whole or in part, with or without notice, if you materially breach these Terms, if we are required to by law, or if your conduct creates risk or legal exposure for us or for another user. Where the circumstances allow, we will tell you what the problem is and give you an opportunity to fix it.

20.4

Termination for your breach does not entitle you to a refund of amounts you have paid for the Services. This does not apply to a Program you are enrolled in: if we remove you from a Program, what we refund you is governed by your Enrollment Agreement, which provides for a refund on a pro rata basis where we remove you for conduct, and nothing in these Terms reduces, conditions or delays a refund payable to you under it.

20.5

We may discontinue any part of the Services. If we discontinue a Program you are enrolled in, your Enrollment Agreement applies.

20.6

On termination, your license to use the Services ends and your access to Program materials and community features ends. Amounts already due remain payable.

20.7

Sections 10, 12.2, 18, 22, 23, 24, 25, 26 and 28 survive termination, together with any other provision that by its nature should survive.

21. Changes to These Terms

21.1

We may change these Terms. We will post the amended Terms with a new “last updated” date and, where the change is material, notify you by email or through the Services at least seven (7) days before it takes effect.

21.2

Material changes apply to you only if you accept them, which you may do by clicking to accept or by continuing to use the Services after the change takes effect. If you do not accept a material change, stop using the Services and close your account; if you do so before the change takes effect and we have not yet delivered a Program you have paid for, we will refund the fees for the undelivered part.

21.3

A dispute is governed by the version of these Terms in effect when the events giving rise to it occurred.

21.4

Changes to the arbitration provision are governed by Section 25.9.

21.5

The fee for an enrollment already completed does not change.

22. Indemnification

22.1

You agree to defend, indemnify and hold harmless Genius Cube Inc., its affiliates, and their respective officers, directors, employees, contractors, trainers and agents (the “Indemnified Parties”) from and against any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys’ fees, arising out of or connected with:

22.2
  • (a)your use of the Services;
  • (b)your User Content;
  • (c)your breach of these Terms or of any law;
  • (d)your infringement or misappropriation of any third party’s rights, including intellectual property, privacy and publicity rights;
  • (e)your unauthorized sharing, recording or distribution of Program materials or sessions; or
  • (f)any dispute between you and another user or a third party.
22.3

We will notify you of any claim for which we seek indemnity and may, at our option, control the defense with counsel of our choosing at your expense. You may not settle any claim in a way that imposes an obligation on an Indemnified Party without our prior written consent.

23. Disclaimer of Warranties

23.1
THE SERVICES, THE PROGRAMS, ALL PROGRAM MATERIALS, AND ALL CONTENT AVAILABLE THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDYCUBE AND ITS LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.
23.2
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, INCLUDING AI-GENERATED OUTPUT, IS ACCURATE, COMPLETE OR CURRENT.
23.3
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN THAT CASE, THE EXCLUDED WARRANTIES ARE LIMITED TO THE SHORTEST PERIOD AND THE NARROWEST SCOPE PERMITTED BY LAW.
23.4

No advice or information, whether oral or written, obtained from us or through the Services creates any warranty not expressly stated in these Terms.

24. Limitation of Liability

24.1
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STUDYCUBE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, TRAINERS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, EMPLOYMENT OR ANTICIPATED SAVINGS, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
24.2
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE STUDYCUBE PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID STUDYCUBE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
24.3
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.
24.4

The limitations in this Section apply even if a limited remedy fails of its essential purpose, and they reflect a reasonable allocation of risk between us that is reflected in the price of the Programs.

24.5

Any claim arising out of or relating to these Terms or the Services must be brought within one (1) year after the claim arose, or it is permanently barred, except where a longer period is required by a law that cannot be waived.

25. Dispute Resolution and Binding Arbitration

25.1
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND STUDYCUBE TO RESOLVE DISPUTES BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF THIS SECTION WITHIN 30 DAYS, AS DESCRIBED IN SECTION 25.4, WITHOUT AFFECTING ANY OTHER PART OF THESE TERMS OR YOUR ENROLLMENT.
25.2

Informal resolution first. Before starting an arbitration, the party raising the dispute must send the other a written Notice of Dispute. Your notice goes to Genius Cube Inc., 15390 W State Hwy 29, Ste 1002, Liberty Hill, TX 78642, United States, marked “Notice of Dispute”, with a copy to info@studycube.ai; ours goes to the address on your account. The notice must:

  • state your name, the email address on your account, and an address for reply;
  • describe the dispute and the relief sought, with enough detail to allow evaluation; and
  • be personally signed by you (or, for us, by an authorized representative).
25.3

The parties will then try in good faith to resolve the dispute for sixty (60) days. Neither party may start an arbitration before that period ends. This informal-resolution requirement is an essential part of this Section and either party may ask a court to enforce it. The limitations period is tolled while it runs.

25.4

Your right to opt out. You may reject this arbitration Section by sending us written notice within thirty (30) days of the date you first accepted these Terms, to Genius Cube Inc., 15390 W State Hwy 29, Ste 1002, Liberty Hill, TX 78642, United States, marked “Arbitration Opt-Out”. The notice must state:

  • your full name and the email address on your account; and
  • a clear statement that you do not wish to be bound by the arbitration provision.

Opting out affects nothing else. It does not affect your enrollment, your price, or any other part of these Terms, and Section 26 will govern any dispute instead.

25.5

Scope. Except as stated in this Section, you and we agree that every dispute, claim or controversy arising out of or relating to these Terms, the Services, or the relationship between us — whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether arising before or after termination — will be resolved by binding individual arbitration. This Section does not apply to:

  • a claim brought in small-claims court, if it qualifies and remains there on an individual basis;
  • a claim for injunctive or other equitable relief to stop infringement or misuse of intellectual property, which either party may bring in court;
  • the filing of a complaint with, or the enforcement of a law by, a government agency; or
  • an individual claim of sexual harassment or sexual assault, which you may bring in court under the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021.
25.6

Arbitrator and rules. The arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by these Terms. The rules are available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator decides all issues, except that a court decides whether Section 25.8 (class-action waiver) is enforceable.

25.7

Procedure, fees and location. The arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions. We pay the AAA filing, administration and arbitrator fees for a claim of $10,000 or less, unless the arbitrator finds the claim frivolous; above that, fees are allocated under the AAA Rules. For a claim of $10,000 or less you may choose to proceed on documents only, by telephone or video, or in person in the county where you live. Otherwise the hearing takes place in the State of Texas or by remote means, as the arbitrator directs.

25.8
CLASS-ACTION WAIVER. YOU AND STUDYCUBE MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. IF THIS PARAGRAPH IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM OR REQUEST FOR RELIEF, THAT CLAIM OR REQUEST IS SEVERED AND HEARD IN COURT, AND ALL OTHER CLAIMS PROCEED IN ARBITRATION.
25.9
JURY TRIAL WAIVER. YOU AND STUDYCUBE EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
25.10

Coordinated filings. If 25 or more Notices of Dispute raising substantially similar claims are submitted by or with the assistance of the same law firm or coordinated group within a 90-day period, the parties agree that:

  • the claims will be resolved in staged batches of no more than 50 at a time;
  • the parties will select two bellwether claims per batch to proceed first, and the outcomes will inform a good-faith attempt to resolve the remainder; and
  • the limitations period is tolled for all claims in the queue while batching proceeds.
25.11

Changes to this Section. If we change this Section after you accept it, you may reject the change by sending us written notice within thirty (30) days of the change taking effect, in which case the most recent version you accepted continues to apply between us.

25.12

Severability. If any part of this Section other than the class-action waiver is found unenforceable, that part is severed and the remainder continues to apply. If this Section as a whole is found unenforceable, or if you opt out, Section 26 governs.

25.13

This Section survives termination of these Terms and closure of your account.

26. Governing Law and Venue

26.1

Genius Cube Inc. is incorporated in the State of Delaware and has its principal place of business in Liberty Hill, Texas.

26.2

These Terms, and any dispute arising out of or relating to them or to the Services, are governed by the laws of the State of Texas and the federal laws of the United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

26.3

Where a dispute is not subject to arbitration under Section 25 — including where you have opted out — you and we submit to the exclusive jurisdiction of the state and federal courts located in the State of Texas, and each of us waives any objection to venue or forum in those courts.

26.4

Nothing in this Section deprives you of the protection of any mandatory consumer-protection law of the state in which you reside that cannot be varied by agreement, including any state law governing refunds for career or vocational training.

27. Related Policies; Incorporation and Order of Precedence

27.1

These Terms are published alongside the following documents, each of which is incorporated into these Terms by reference:

  • the Enrollment Agreement, which sets the total charges and the cancellation and refund terms for the Program you enroll in;
  • the Privacy Policy, which explains how we handle personal information.
27.2

There are no other incorporated documents. Acceptable use, community standards, the use of AI features, our use of cookies and our disclaimer of warranties are governed by these Terms themselves — at Sections 16, 12, 13, 15 and 23 respectively. Cancellation and refunds are governed by your Enrollment Agreement. We do not publish a separate cookie policy, disclaimer or refund policy, and we do not incorporate by reference any policy that we have not published.

27.3

Order of precedence. If there is a conflict between documents, the following order applies, highest first:

  • any terms required by a state regulator that apply to your enrollment;
  • your Enrollment Agreement, on charges, payment, cancellation and refunds;
  • the Privacy Policy, on the handling of personal information only; then
  • these Terms.
27.4

A conflict means a genuine inconsistency. Where a policy simply says more about a subject than these Terms do, both apply together.

28. General Provisions

28.1

Entire agreement. These Terms, together with the policies listed in Section 27, are the entire agreement between you and us about the Services and supersede all prior discussions, representations and understandings.

28.2

Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the rest of these Terms continue in force.

28.3

No waiver. Our failure to enforce a provision is not a waiver of it, and a waiver on one occasion is not a waiver on any other.

28.4

Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign them to an affiliate, or in connection with a merger, acquisition or sale of assets, on notice to you.

28.5

Force majeure. Neither party is liable for a failure or delay caused by an event beyond its reasonable control. Where such an event prevents us from delivering a Program, your Enrollment Agreement applies.

28.6

Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and us.

28.7

No third-party beneficiaries. These Terms confer no rights on anyone who is not a party, except that the Indemnified Parties may enforce Section 22 and the parties named in Sections 23 and 24 may enforce those Sections.

28.8

Notice to California residents. Under California Civil Code Section 1789.3, California users may report a complaint to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by post at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

28.9

Accessibility. We are working to make the Services accessible and to conform to WCAG 2.1 Level AA. If you encounter a barrier, or need a Program delivered in an accessible format, contact us at info@studycube.ai and we will work with you on a reasonable accommodation.

28.10

International use. The Services are directed to users in the United States. We make no representation that the Services are appropriate or available elsewhere, and if you access them from outside the United States you do so on your own initiative and are responsible for compliance with local law.
